Luca Cordero di Montezemolo to resign as Chairman of Fiat

Fiat announces that, during a press conference to be held this afternoon, Luca Cordero di Montezemolo will announce his intention to resign as Chairman of Fiat. The Vice Chairman of Fiat, John Elkann, and the CEO, Sergio Marchionne, will also be present at the conference.

Luca Cordero di Montezemolo explained that the reason for his resignation, on the eve of the presentation of the Groups 2010-2014 Business Plan, was that he had completed the assignment given to him by the core shareholder in May 2004.

Mr. Montezemolo will remain a member of the Fiat Board of Directors and Chairman of Ferrari.

Here's a little background on Luca Cordero di Montezemolo>

After joining Fiat, in 1973 FIAT moved him to Ferrari, where the 27 year old quickly became Enzo Ferrari's assistant and right hand man. In 1974, Montezemolo became manager of Scuderia Ferrari. In 1975, he was promoted out of Ferrari to be head of all FIAT racing activities, and in 1977 he advanced to become a senior manager of FIAT.

In November 1991, FIAT chairman Gianni Agnelli made Montezemolo president of Ferrari, which had been struggling since Enzo Ferrari's death; Montezemolo made it his personal goal to win the Formula One World Constructors' Championship once again. Montezemolo quickly made changes at the Italian team, signing up Niki Lauda as consultant and promoting Claudio Lombardi to team manager role.

During the 1990s he resurrected the Ferrari road car business from heavy debts into solid profit. He also took on the presidency of Maserati when Ferrari acquired it in 1997, until 2005.

Following the death of Umberto Agnelli on May 28, 2004, Luca Cordero di Montezemolo was elected chairman of FIAT. After leading Fiat's turnaround, Luca Cordero di Montezemolo decided to step down today (April 20, 2010) as Chairman of Fiat.

He will be succeeded by John Elkann, the grandson of the late Gianni Agnelli, and heir to the Fiat empire.

The Fiat 500 is going to Rio...

Fiat has officially announced the 500 will go on sale in Brazil. The interesting development, as it relates to us in the US, is that the Fiat 500 is already sold in a host of South American countries (cars are currently being imported from Europe assembled), and now that you add Brazil and the four other countries listed below, it pretty much confirms that the 500 will have to be built in Mexico.

We'll have to wait for the official Fiat announcement, currently slated for November 4, to find out for sure. But remember, the US government and the UAW are involved and they naturally would want the 500 built here in the US, so be prepared for anything. Looks like November will be an exciting month.

Below is the official Fiat press release and some pictures of the beautiful Brazilian country.

The Fiat 500 in Brazil

The Fiat 500 is due to go on sale at the beginning of October in Brazil and was introduced to the national press today in Rio de Janeiro. The car will also be launched during the same period in Colombia, Barbados and Panama - and presented in Jamaica before the end of 2009. Not to mention the fact that the new Fiat car is already present in Argentina, Chile, Curaao, Costa Rica, Guatemala, Mexico, Peru, the Dominican Republic, Sain Martin and Paraguay.

Fiat 500 Dualogic shifter

The Fiat 500 marketed in Brazil is available in Sport and Lounge outfits, powered by a lively 100 hp 1.4 16v engine teamed with a manual 6-speed gearbox or a 5-speed Dualogic gearbox (robotized, sequential).

The power unit and suspension have been adapted to local market needs: the injection system has been re-calibrated to adjust to the 22% of ethanol present in the petrol sold in Brazil. Certain components in direct contact with this specific fuel have also been changed.

The suspension has also been revised for the Brazilian roads by increasing the flexibility of the springs and the shock absorber travel.

The Brazilian edition of the car, already awarded the prestigious EuroNCAP 5-star ranking, will offer 7 airbags as standard (two front airbags, two window bags, two sidebags and one knee bag) plus state-of-the-art hi-tech active safety features: ABS with electronic brake distribution (EBD), the sophisticated electronic stability program (ESP), an anti slip regulation (ASR) system, a Hill Holder to help the driver with hill starts - and hydraulic brake assistance (HBA) to help with emergency stops.

The Fiat 500 model is an authentic Italian style icon that has won the hearts of the international public and critics alike, as confirmed by more than 390,000 orders collected to date around the world and more than 40 international awards.

Fiat Chrysler deal FINALIZED

The deal is finally done. Here is the official Fiat Press release.

CHRYSLER GROUP LLC AND FIAT FINALIZE GLOBAL STRATEGIC ALLIANCE;
NEW CHRYSLER EMERGES AS A STRONGER, MORE COMPETITIVE GLOBAL COMPANY

Robert Kidder to be named Chairman of U.S. Automaker;
Sergio Marchionne to Serve as Chief Executive Officer

Auburn Hills, MI and Turin, ITALY June 10, 2009 Chrysler Group LLC and Fiat Group announced today that they have finalized their previously announced global strategic alliance, forming a "new" Chrysler that has the resources, technology and worldwide distribution network required to compete effectively on a global scale. The new Chrysler will begin operations immediately.

As part of the alliance, Fiat will contribute to Chrysler its world-class technology, platforms and powertrains for small- and medium-sized cars, allowing the company to offer an expanded product line including environmentally friendly vehicles increasingly in demand by consumers. Chrysler will also benefit from Fiats management expertise in business turnaround and access to Fiats international distribution network with particular focus on Latin America and Russia.

"This is a very significant day, not only for Chrysler and its dedicated employees, who have persevered through a great deal of uncertainty during the past year, but for the global automotive industry as a whole," said Sergio Marchionne, who today was named Chief Executive Officer of Chrysler Group LLC. "From the very beginning, we have been adamant that this alliance must be a constructive and important step towards solving the problems impacting our industry. We, now look forward to establishing a new paradigm for how automotive companies can operate profitably going forward.

Mr. Marchionne continued: "We intend to build on Chryslers culture of innovation and Fiats complementary technology and expertise to expand Chrysler's product portfolio both in North America and overseas. Those Chrysler operations assumed by the new company that were idled during this process have or will soon be back up and running, and work is already underway on developing new environmentally friendly, fuel-efficient, high-quality vehicles that we intend to become Chrysler's hallmark going forward.

"The same attributes that first attracted us to this alliance a global automotive company with first-class technology, a devoted workforce, improved efficiency, a strong, global distribution network and an unyielding passion for building great cars that consumers want are even more true today. While it does not solve every issue faced by the automotive industry today, this alliance, established with the full support of President Obama's Administration, is a very significant step toward positioning Fiat and Chrysler to be leaders among the next breed of global automakers. This has, I know, been a difficult process for everyone involved, but we are ready to prove to the American consumer that Chrysler can once again be a strong, competitive company that produces a full portfolio of reliable vehicles that capture the imagination and inspire loyalty," Mr. Marchionne said.

Under the terms approved by the U.S. Bankruptcy Court in New York and various regulatory and antitrust regulators, the company formerly known as Chrysler LLC today formally sold substantially all of its assets, without certain debts and liabilities, to a new company that will operate as Chrysler Group LLC.

Chrysler Group in turn issued to a subsidiary of Fiat a 20% equity interest on a fully diluted basis in the new company. Fiat has also entered into a series of agreements necessary to transfer certain technology, platforms and powertrains to the new Chrysler. Fiats equity interest will increase in increments by up to a total of 35% in the event that certain milestones mandated by the agreement are achieved, but Fiat cannot obtain a majority stake in Chrysler until all taxpayer funds are repaid.

Similarly, the United Auto Workers Retiree Medical Benefits Trust, a voluntary employees beneficiary association trust (VEBA) has been issued an equity interest in Chrysler Group equal to 55% on a fully diluted basis. The U.S. Treasury and the Canadian Government have been issued an equity interest equal to 8% and 2% on a fully diluted basis, respectively. These interests reflect the anticipated share dilution as a result of Fiats incremental equity assumption once the milestones outlined in the strategic alliance agreement are achieved.

In addition to Mr. Marchionne, currently the Chief Executive Officer of Fiat S.p.A. serving as CEO, the new Chrysler will be managed by a nine-member Board of Directors, consisting of 3 directors to be appointed by Fiat, 4 directors to be appointed by the U.S. Government, 1 director to be appointed by the Canadian Government and 1 director to be appointed by the United Auto Workers Retiree Medical Benefits Trust. The Board is expected to name Robert Kidder as Chairman. The process of determining additional board members is continuing and updates will be announced as appropriate.

As previously announced, Chrysler has entered into an agreement with GMAC Financial Services to provide automotive financing products and services to the Companys North American (NAFTA) dealers and customers. GMAC Financial Services will be the preferred lender in North America for Chrysler, Jeep and Dodge dealer and consumer business, including wholesale of new and used vehicles as well as retail.

Statement from Fiat Chairman, Luca Cordero di Montezemolo

********* Fiat Press Release ********

President Obamas comments in relation to Fiat yesterday represent an important recognition of all the men and women who have worked hard in recent years to restore the strength and credibility of our Group in the eyes of the world.

I believe that the choice of Fiat to help in the relaunch of the U.S. auto industry should be a source of great pride not only for Italian industry but for the entire nation.

For Fiat, recognition that our products, engines and components are at the leading edge of technology, respectful of the environment and highly competitive is an enormous satisfaction. In most major international markets, demand today is for cars with these characteristics, as it will also be in the U.S. market in future.

If an agreement is concluded, as we hope, in the next few weeks, it will present an extraordinary opportunity. Having access to a major network such as Chryslers, we will be able to enter the U.S. market with automobiles, which we are sure will be appreciated for their innovative content, style and advanced technology. Despite the difficult period it is currently experiencing, the U.S. market still remains the greatest opportunity and challenge.

STATEMENT FROM THE CEO OF FIAT GROUP SERGIO MARCHIONNE

********* Fiat Press Release *********

I would like to publicly thank President Obama, on behalf of the entire Fiat management team, for the kind words he used in referring to our work over the past five years and for his encouragement to finalize a sound alliance between Chrysler and Fiat.

We are firmly convinced that Fiat's environmentally conscious technologies and small and medium car platforms will play a key role in re-establishing a close rapport for the Chrysler brands with the American consumer. Our alliance will not only make Chrysler a stronger company financially, but it will also help preserve American jobs, significantly accelerate Chrysler's efforts to produce fuel efficient vehicles, and lead to a more rapid repayment of U.S. taxpayer dollars.

The engagement with the Presidents Automotive Task Force has been tough but fair, and we believe we will arrive at a result that will establish a credible future for this crucial industrial sector and that assigns the right priority to the repayment of US taxpayers funds.

We are delighted that Fiat can play a key role in this important endeavor.
